The 4 Key Investment Fund Documents

1. Fund Agreement
This is the main document that governs the relationship between the GP and the LPs.
It contains the deal points.
If the fund is a limited partnership, this is an LPA.
If the fund is an LLC, this is an LLC Agreement.
This is a long, complex document.
2. Subscription Documents
LPs sign the sub docs to buy an interest in the fund.
In the sub docs, an LP:
1. Makes reps and warranties
2. Fills out an investor questionnaire (which gives the GP info it needs to comply with various laws)
3. Indicates its investment amount
3. Management Agreement
This is where the management company agrees to provide services to the fund in exchange for the management fee.
If the GP and the management company are owned by the same parties, this a very short/simple agreement.
Otherwise, it can be a bit longer.
4. Private Placement Memorandum (PPM)
This is a marketing document.
The first half includes business plan, track record, market opportunity.
The second half has legal disclosures and risk factors.
PPMs are optional. You can put legal disclosures in your sub docs instead.
